Terms of Service

These Terms govern your use of Cerna Intelligence (“Cerna,” “we,” “us”). They’re written in plain English and they apply whenever you visit cerna.app or use any of our services. Using Cerna means you accept these Terms. If you don’t, please don’t use the service.

1. What Cerna is

Cerna is a continuous AI intelligence platform. You tell it what topics to monitor — companies, regulators, markets, technologies — and Cerna scans the open web on a schedule, classifies what it finds, and delivers structured findings to you. Findings are produced by automated systems combining web search and large language models.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under the laws of your jurisdiction. By creating an account, you represent that you meet these requirements and that the information you give us is accurate.

3. Your account

You’re responsible for what happens under your account. Keep your credentials private. Tell us at hello@cerna.app right away if you suspect unauthorized access. You can close your account at any time from your account settings or by email.

4. Acceptable use

When using Cerna, you agree not to:

  • Use Cerna to monitor people in ways that violate applicable privacy, anti-stalking, or workplace surveillance laws.
  • Attempt to bypass rate limits, scrape our service in bulk, or interfere with other users’ access.
  • Reverse engineer, decompile, or attempt to extract the source code or weights of any underlying systems beyond what applicable law allows.
  • Resell or sublicense Cerna without our written agreement.
  • Use Cerna to generate or distribute illegal content.

5. Your content

You own the watchers, files, and findings you create with Cerna. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display your content solely for the purpose of operating and improving the service. We will not use the contents of your private watchers to train models for third parties.

You are responsible for ensuring you have the right to submit any content you upload to Cerna (for example, the files you share for analysis).

6. Findings — how to read them

Cerna findings are produced by automated systems. They draw on third-party sources and may be incomplete, out-of-date, or wrong. Treat Cerna as a fast-moving research aide, not a system of record. Verify anything you intend to act on, especially in financial, legal, medical, or regulated contexts. Cerna is not investment, legal, medical, or other professional advice.

7. Pricing and payment

Cerna uses a pay-as-you-go credit model. You buy a credit pack, scans consume credits, and unused credits stay on your account.

  • Prices are listed on the pricing page and may change with notice.
  • Payments are processed by Stripe.
  • Refunds: unused credits within 14 days of purchase can be refunded on request. Consumed credits are non-refundable.
  • You’re responsible for any taxes that apply in your country.

8. Service availability

We aim to keep Cerna available and accurate, but we don’t guarantee uninterrupted service. We may add, change, or remove features at our discretion. Where changes are material, we’ll give you reasonable notice.

9. Termination

You can stop using Cerna and close your account at any time. We can suspend or terminate accounts that violate these Terms, abuse the service, or expose us to legal risk. If we close your account, we’ll refund your unused credits unless the closure was for serious breach of these Terms.

10. Disclaimers

Cerna is provided “as is” and “as available.” We disclaim, to the maximum extent permitted by law, all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. Findings are not guaranteed to be complete or accurate.

11. Limitation of liability

To the maximum extent permitted by law, Cerna, its directors, and its employees are not liable for any indirect, incidental, consequential, or special damages, or for any decisions you make based on Cerna findings. Our total liability to you for any claim arising out of or related to the service is limited to the amount you paid us in the 12 months before the claim, or AUD $100, whichever is greater. Some jurisdictions don’t allow limitations on certain warranties or damages, so parts of this section may not apply to you.

12. Governing law

These Terms are governed by the laws of Queensland, Australia, without regard to its conflict-of-laws rules. The courts of Queensland have exclusive jurisdiction over any dispute, except where applicable consumer law gives you the right to bring proceedings in your local jurisdiction.

13. Changes to these Terms

When we change these Terms in a way that materially affects your rights, we’ll notify you by email. Continued use of Cerna after a change means you accept the revised Terms.
